Terms & Conditions for aiRA
These Terms & Conditions apply to the access and use of aiRA, Capillary’s agentic AI platform for brands, which is made available by Capillary under the applicable Sales Order/ Addendum to its Customer.
Definitions
- “aiRA” means Capillary’s agentic AI platform for brands, made available to Customer.
- “Credits” means the usage units consumed when Customer uses aiRA, including through prompts, AI-generated responses, recommendations, summarization, classification, retrieval, content generation, workflow execution, API calls, database queries, model calls, or other AI-enabled processing.
- “Credit Pool” means the total Credits purchased, allocated, or made available to Customer under the applicable Sales Order/ Addendum.
- “Authorized Users” means Customer’s employees, contractors, agents, business users, managed services users, or other users authorized by Customer or Capillary to access aiRA under Customer’s account.
- “Effective Date” means the date from which revised aiRA Credit Pack rates, or overage rates become legally effective and binding on the parties.
1. Credit Consumption:
- Credit consumption is defined within the aiRA platform based on the nature of each interaction (including but not limited to analytics queries, configuration actions, and optimization outputs) and may evolve as features expand.
- All Authorized Users accessing aiRA under Customer’s account will consume Credits from Customer’s allocated Credit Pool.
- Credits are allocated at the Customer account level and may be shared across Authorized Users.
- Credit consumption may vary based on the aiRA feature used, number of prompts, retrieval volume and other processing factors.
- The Customer is responsible for managing usage by its Authorized Users.
- The Customer will have access to an aiRA dashboard to track Credit consumption.
- Capillary’s aiRA usage records will be the basis for calculating Credit consumption and overages.
2. Credit Validity, Expiry, and Rollover:
- Credits are valid only during the term specified in the Sales Order/ Addendum.
- Unused Credits will expire at the end of the applicable term and will not be refundable, exchangeable, transferable, or convertible into cash or other services.
3.Overage:
- If Customer’s usage exceeds the Credit Pool specified, Capillary will charge Customer for such excess usage at the overage rates specified in the Sales Order/ Addendum.
- Unless otherwise stated in the Sales Order/ Addendum, overages will be calculated quarterly and invoiced in arrears.
- Credit usage beyond 100% of the Credit Pool will incur overage charges. If usage exceeds 120%, Capillary may, at its discretion, restrict or suspend Customer’s access to aiRA until the Customer approves continued usage at the applicable overage rate, or purchases a valid Credit Pack.
4. Credits Policy Modifications
- Capillary may update or revise its aiRA credit consumption policy, including the credit consumption rates, as and when required due to changes in product functionality, underlying AI models, database technologies, third-party provider costs, infrastructure costs, regulatory requirements, or commercial packaging.
- Capillary will provide Customers with at least thirty (30) days’ prior notice of material changes to the Credits Policy through email, platform notification, or other reasonable means.
- Capillary will share reasonable justification to explain the nature and rationale for material changes at the time of notification.
- Changes to the Credits Policy will apply prospectively from the Effective Date specified in the notice.
- Continued use of aiRA after the Effective Date of the revised Credits Policy will constitute acceptance of the revised Credits Policy. However, no change will reduce Customer’s expressly purchased Credit Pool during the term.
